This Agreement sets out the terms on which Curated Place Ltd provides consultancy services. It is intended to form part of every consultancy booking, proposal, quotation and invoice unless expressly agreed otherwise in writing.

1. Parties and Acceptance

By booking or participating in Consultancy Services, the Client agrees to these Terms. These Terms prevail over any conflicting client terms unless expressly accepted by Curated Place in writing.

2. Services

Services may include artistic development, fundraising strategy, funding application review, business planning, governance, mentoring, producing, facilitation and related consultancy. Unless expressly agreed, Curated Place is not responsible for implementation or delivery of recommendations.

3. Professional Standard

Curated Place will exercise reasonable skill and care consistent with a professional consultancy practice.

4. No Reliance and Professional Judgement

Advice reflects professional opinion based on information available at the time. The Client confirms it does not rely upon any statement as a guarantee of success. Curated Place does not warrant that recommendations will produce any particular outcome.

5. Funding and Third-Party Decisions

Curated Place cannot influence or guarantee decisions made by funders, commissioners, investors, procurement panels, partners or public bodies and accepts no responsibility for those decisions.

6. Excluded Advice

Curated Place does not provide legal, regulated financial, investment, tax, accountancy or insurance advice. Independent professional advice should be obtained where appropriate.

7. Client Obligations

The Client warrants that information supplied is complete and accurate and remains responsible for all submissions, budgets, legal compliance and decisions arising from the consultancy.

8. Fees

Fees are payable in accordance with the quotation or invoice. Curated Place may suspend services where payment is overdue.

9. Cancellation

More than 7 days: refund or rearrangement. Between 48 hours and 7 days: rearrangement at Curated Place's discretion. Under 48 hours or non-attendance: fees are forfeited unless otherwise agreed.

10. Intellectual Property

The Client retains ownership of its own project IP. Curated Place retains ownership of all methodologies, frameworks, canvases, templates, worksheets, presentations, reports and consultancy tools, including any improvements developed during the engagement. Nothing transfers ownership of Curated Place intellectual property.

11. Confidentiality

Each party shall keep confidential information confidential except where disclosure is required by law or necessary to professional advisers or insurers. Curated Place may use anonymised learning and statistical information.

12. Data Protection

Personal data will be processed in accordance with UK GDPR and the Data Protection Act 2018.

13. Artificial Intelligence

Curated Place may use secure AI-assisted administrative tools. Confidential information will not knowingly be used to train public AI models. Final judgement remains with Curated Place.

14. Recording, Accessibility and Distribution

Curated Place does not grant permission for Consultancy Sessions to be audio recorded, video recorded, screen recorded, photographed, transcribed or otherwise captured. Permission is expressly refused unless granted in writing beforehand.

Where recording is requested as a reasonable adjustment for disability or accessibility, Curated Place will consider the request in good faith in accordance with the Equality Act 2010. Any approval will be personal to the Client and subject to written conditions.

Approved recordings may only be used for the Client's personal accessibility requirements. They must not be copied, edited, uploaded, shared, distributed, published, summarised, transcribed, used to train AI systems or provided to any third party.

Unauthorised recording or misuse of an approved recording constitutes a material breach of this Agreement and may amount to copyright infringement, misuse of confidential information and infringement of Curated Place's intellectual property rights. Curated Place may require immediate deletion and pursue all legal remedies. Handwritten notes for personal use are permitted.

15. Conflict of Interest

Curated Place may advise organisations operating in similar sectors provided confidential information is protected.

16. Publicity

Clients may not imply endorsement or partnership by Curated Place without written consent. Curated Place may refer to the engagement in credentials unless confidentiality has been agreed.

17. Insurance

Curated Place maintains appropriate business insurance, including Professional Indemnity where applicable. Nothing in this Agreement increases liability beyond the limits stated herein or under applicable insurance.

18. Limitation of Liability

Nothing excludes liability which cannot lawfully be excluded. To the fullest extent permitted by law, Curated Place excludes liability for indirect or consequential loss, loss of profits, revenue, opportunity, funding, goodwill or reputation and for third-party decisions. Aggregate liability shall not exceed the fees paid under the relevant engagement.

19. Time Limit

No claim may be commenced more than twelve months after the relevant consultancy session or deliverable.

20. Dispute Resolution

The parties will first seek to resolve disputes through good-faith negotiation and, where appropriate, mediation before commencing court proceedings.

21. Force Majeure

Curated Place is not liable for delays or failure caused by events beyond its reasonable control.

22. Termination

Curated Place may terminate immediately for non-payment, abusive or discriminatory behaviour, unlawful instructions or material breach.

23. General

If any provision is unenforceable the remainder continues. This Agreement is the entire agreement between the parties. No variation is effective unless in writing.

24. Governing Law

This Agreement is governed by the laws of England and Wales and subject to the exclusive jurisdiction of the courts of England and Wales.
